These Terms of Service ("Terms") constitute a legally binding agreement between you and CareerPrep ("Company," "we," "our," or "us") governing your access to and use of careerprep.site and all related content, services, and tools (collectively, the "Service"). CareerPrep provides an online career preparation platform offering editorial content including interview guides, resume templates, career advice articles, and career development tools. The Service is provided for personal, non-commercial use. Core resources are provided free of charge; premium features, if introduced, will be clearly disclosed and priced.

All content on CareerPrep — including but not limited to text, graphics, logos, images, resume templates, guides, and software — is the exclusive intellectual property of CareerPrep or its content licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

**Personal Use License:** We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and download templates for your personal, non-commercial job-search purposes only.

**Restrictions:** You may not reproduce, distribute, publicly display, publicly perform, transmit, adapt, modify, or create derivative works from any portion of our content without our prior written consent. Unauthorized commercial use of our content or templates is strictly prohibited.

WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

Career outcomes described on the site (e.g., success rates, salary improvements) are based on aggregated user-reported data and are not guarantees of individual results. Employment and career outcomes depend on many individual factors beyond our control.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CAREERPREP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless CareerPrep and its affiliates, officers, agents, employees, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to any content you submit or any violation of any third-party rights.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your personal information.

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Service shall first be addressed through good-faith negotiation. If the dispute cannot be resolved within 30 days, both parties agree to submit to binding arbitration under the rules of the American Arbitration Association in San Francisco, California, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the interests of the Service. Upon termination, all licenses granted to you under these Terms immediately cease. Sections relating to intellectual property, disclaimers, limitations of liability, and governing law shall survive termination.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions of the Terms will continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable.
